Below is MediDrive LLC’s Privacy Policy (“Privacy Policy”), applicable to Riders, Independent Transportation Providers, and all other users that access MediDrive’s Platform, including MediDrive’s applications, webpages, technology, and physical locations. The scope of this Privacy Policy concerns only your personal information, and it does not apply to aggregate information or other non-identifying information that MediDrive may collect. The Privacy Policy is incorporated into MediDrive’s Terms of Service and Use (the “Terms”) and the Independent Transportation Provider Addendum and is made a part thereof. Capitalized terms not otherwise defined herein shall have the meaning given to them in the Terms.

PLEASE CAREFULLY READ THE ENTIRE PRIVACY POLICY. BY USING MEDIDRIVE’S PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THE TERMS OF THE MOST RECENT VERSION OF THIS PRIVACY POLICY. WE ENCOURAGE YOU TO REVIEW THIS PRIVACY POLICY FROM TIME TO TIME TO ENSURE YOU ARE FULLY FAMILIAR WITH THE LATEST VERSION, AS THIS PRIVACY POLICY MAY BE UPDATED FROM TIME TO TIME AS MEDIDRIVE’S PLATFORM AND/OR THE PRIVACY LAWS EVOLVE. UPDATES TO THIS POLICY WILL BE REFLECTED ON MEDIDRIVE’S PLATFORM, AND IF ANY MATERIAL CHANGES ARE MADE, MEDIDRIVE WILL NOTIFY YOU THROUGH MEDIDRIVE’S PLATFORM AND/OR THROUGH EMAIL.

  1. Information MediDrive Collects.

    1. MediDrive collects your provided information, usage information, and information about your device used to access MediDrive’s Platform. MediDrive may also collect information about you from other sources, including third-party services and other services offered by MediDrive’s affiliates. MediDrive may synthesize the collected information. Below are the information categories that we mainly collect.

      1. User Accounts: We collect the information you provide when creating a user account on MediDrive’s Platform. This information includes your full name, email address, phone number, birth date, profile photo, physical address(es), payment information, and preferences you select under your user profile. We also may request that you provide a copy of your identification to verify your identity.

      2. Independent Transportation Provider Information: We collect your provided information when creating an Independent Transportation Provider account. This information includes your full name, email address, phone number, birth date, profile photo, physical address(es), payment information, preferences you select under your profile, social security number, tax identification number (EIN), driver’s license information, vehicle information, automobile insurance information, bank information including bank routing and account numbers. If applicable, we will also collect information about your business, including your license or permit number. And may request your photograph for use on your profile.

      3. Feedback Information: If you rate and/or provide feedback about your ride, the Independent Transportation Provider, Rider, MediDrive, or MediDrive’s Platform, we will collect all such information.

      4. You Communications with MediDrive: All contact and the content thereof between you and us, through email, phone, mail, MediDrive’s Platform, text messages, surveys, and all other means, will be collected by us.

      5. Location Information: MediDrive collects location information from your device, including GPS, WiFi, Bluetooth data, and IP address. The collection of this information may vary depending on your settings and device permissions.  

      6. Use of MediDrive’s Platform Information: MediDrive collects information on your use of MediDrive’s Platform, including date, time, destination, distance, route, payment, the content you view, and the rides you initiate but not order.

      7. Your Device Information: MediDrive collects information about the device you use to access and/or use MediDrive’s Platform, including device manufacturer brand, model, operating system and version, IP address, type of browser, mobile network and carrier, preferences, and settings, application installations, the device identifies, advertising identifies, and push tokens.

      8. MediDrive also collects Independent Transportation Provider’s device’s sensor data, including accelerometer and gyroscope readings.

      9. Communication Between Riders and Independent Transportation Providers:

        1. To facilitate the necessary communication between riders and independent transportation providers, our platform may establish a proxy contact system. This system allows for necessary communication without disclosing the actual contact information of the passenger to the driver, thereby maintaining the privacy of our users. However, depending on the format in which a ride is ordered, there may be instances where direct contact without a proxy is established. This could occur, for example, when a ride is ordered through a third-party platform or service that does not support our proxy contact system. Regardless of the method of communication, we are committed to maintaining the privacy of our users and will collect and store communication data in accordance with our established privacy policies and applicable laws. Please note that all communication data is collected and stored for the purpose of ensuring the safety and quality of our services, and may be used in resolving disputes or issues related to the services provided.

      10. Your Address Book Contacts: If you set your device’s permission to allow MediDrive to access your stored contacts information and request MediDrive to access this information, we will access such information of the contacts.

      11. Your Calendar: If you set your device’s permission to allow MediDrive to access your calendar information and request MediDrive to access this information, we will access and store such information to provide you with additional features on MediDrive’s Platform.

      12. Automatic Data Collection Tools: We use cookies and other similar device identification technologies (collectively, “cookies”) to provide our services, to understand how they are used, and for analytics, personalization, customization, and marketing/advertising purposes.

        1. Cookies refer to all technologies that store and access information on the device you use to access MediDrive’s Platform, such as your computer, tablet, or mobile phone. We may use both session cookies (disappear after you close your browser) and persistent cookies (remain after you close your browser and may be accessed every time you use MediDrive’s Platform.)

      13. Our Collection of Information From Outside Sources: We are provided with the information needed for the core aspects of MediDrive’s Platform to ensure you receive optimal experiences from us. Outside sources include background check providers, insurance providers, financial services providers, marketing providers, and other businesses. MediDrive obtains the following information about you from outside sources:

        1. Background check information or identity verification information to make MediDrive’s Platform safer;

        2. Information on your participation in third-party programs concerning insurance coverage and financial details such as insurance, payment, transaction, and fraud detection information;

        3. Information about your use of loyalty and promotional and marketing programs or applications, services, or features you may connect or link to your User Account;

        4. Your information, including about vehicle, demographic, and market segment; and

        5. Information from other MediDrive’s Platform users, public, or third-party sources such as law enforcement, insurers, media, or pedestrians may provide us information about you, including as part of an investigation into an incident or to provide you with customer support.

        6. Referrals: If you are referred to MediDrive by someone else, we will collect information about you from the referral source, including your name and contact information.

  2. MediDrive’s Use of Your Information.

    1. MediDrive uses your provided information, usage information, and information about your device used to access MediDrive’s Platform to provide MediDrive’s services, maintain the security and safety of the MediDrive’s Platform and its users, build and maintain our ecosystem, provide customer support, improve our services, and respond to legal proceedings, obligations, and claims.

    2. To provide MediDrive’s Platform experience, MediDrive uses your personal information to verify your identity and maintain your account, settings, and preferences. We also use the information concerning the rides and track the rides’ progress.

      1. MediDrive endeavor to maintain the security and safety of the MediDrive’s Platform and its users by using your personal information to (i) authenticate and verify Riders and Independent Transportation Providers, (ii) verify that Independent Transportation Providers and their vehicles meet safety standards and requirements, (iii) investigate and resolve incidents, crashes, and claims, (iv) encourage safe driving behavior and avoid unsafe activities, (v) locate and prevent fraud and misuse, (vi) block and remove unsafe, fraudulent, or deceptive users from MediDrive’s Platform, and (vii) to calculate fares and process payments for your transactions with us.

    3. MediDrive uses your personal information to enable Riders and Independent Transportation Providers to connect on rides and select to share their locations with each other and others.

    4. To understand your needs/preferences better and enhance the use of your experience of MediDrive’s Platform, and communicate with you about the same, MediDrive uses your personal information to provide superior customer support by investigating and assisting in resolving inquiries and issues you may have in connection with our services and answering your questions.

    5. MediDrive uses your personal information to collect reviews, ratings, and feedback regarding your experience with MediDrive’s Platform.

    6. MediDrive uses your personal information to provide you with various offerings, including vehicle options and third-party promotional advertisements that may be custom tailored to you, to run promotional programs to provide additional value to you in using our services, and to facilitate additional services and programs with third parties.

    7. MediDrive uses your personal information to communicate with you about events, promotions, and other social events, to personalize and provide content, experiences, communications, and advertisements tailored to you.

    8. MediDrive uses your personal information to enhance the services provided through MediDrive’s Platform, such as performing research, testing, and analysis; developing new features, services, and partnerships; discovering and resolving software and/or hardware bugs and issues; and monitoring and improving operations, processes, security practices, algorithms, and policies.

    9. MediDrive may use your personal information to meet its obligations and demands imposed by the law, government entities, and regulatory bodies concerning our services.

  1. How MediDrive Shares Your Information.

    1. MediDrive neither sells for money your personal information to third parties nor acts as a data broker. MediDrive may need to disclose your personal information to other users, third parties, and/or service providers to provide you with services and custom-tailored content and advertisements. As a result, under certain privacy laws in the United States, such disclosures may constitute “sharing” or “selling” of personal information. To ensure you are aware of what our disclosures entail, please read the following:

      1. MediDrive Shares Riders’ information With Independent Transportation Providers: To coordinate your ride request with the Independent Transportation Provider, we share with them your pickup and destination (and any additional stop you may include in your request), location, name, profile photo, rating, and account history information (e.g., number of rides you previously took and how long you’ve been a Rider with MediDrive). Sometime after your ride is completed, we will share your feedback and rating concerning the ride with the Independent Transportation Provider. Please note that we remove your identity when providing the Independent Transportation Provider with your rating and feedback. Still, there can be instances when the Independent Transportation Provider may identify in connection with the rating or feedback (e.g., if the Independent Transportation Provider provides a single ride using MediDrive’s Platform and receives only one rating and feedback).

      2. MediDrive Shares Independent Transportation Providers’ information With Riders: When the Independent Transportation Provider accepts the Rider’s request, MediDrive may share with the Rider the Independent Transportation Provider’s name, profile photo, rating, vehicle’s make, model, color, and license plate, real-time location, and statistics about service history (e.g., number of rides previously provided and how long you’ve been an Independent Transportation Provider with MediDrive).

      3. Lost/Found Inquiries: If you submit to MediDrive a lost or found item inquiry, we will attempt to connect you with the relevant Independent Transportation Provider, and in such instance, if you consent, we will include your phone number or other contact information.

    2. Ride-Sharing: If Riders choose a shared ride, MediDrive may share the Riders’ name, profile picture, and pickup and drop-off locations with all Riders on such ride to ensure safety and allow you to verify co-Rider(s).

    3. Rides Initiated by Third Parties: If your ride is requested or paid (in full or in part) by someone other than you or with a coupon or promotion (whether your friend, employer, business, or subsidized by transit or government), MediDrive may share some or all of your ride’s details with the requesting or paying party, including your name, phone number, and other contact information, the date, time, charge, rating/feedback, geographic area, and pick up and drop off locations.

    4. Shared Accounts and Shared Rides: MediDrive may share your location live during your ride with the user(s) you have enabled account sharing and/or those parties with whom you direct us to share your ride.

    5. Referral Programs: If you refer someone to use MediDrive’s Platform, we will inform such party that you referred them. If someone referred you, we might inform them of your use of MediDrive’s Service’s Platform, including the number of rides you completed.

    6. MediDrive Sharing Information with Supporting Third Parties: MediDrive may share the following categories of your personal information in the course of providing services to the Riders and screening, reviewing, and verifying Independent Transportation Providers:

      1. Your name, address, email address, phone number, date of birth, government identification number (such as social security number), driver’s license information, vehicle information, and car insurance information;

      2. Financial information, such as bank routing numbers, tax information, and any other payment information you provide MediDrive;

      3. Commercial information, such as ride information, Independent Transportation Provider/Rider statistics, ratings, and feedback, and Independent Transportation Provider /Rider transaction history;

      4. Internet or other electronic network activity information, such as your IP address, type of browser, version of the operating system, carrier and/or manufacturer, device identifiers, and mobile advertising identifiers;

      5. Location data; and

      6. Other information you may direct us to share with other parties, such as when you link your MediDrive’s Platform account with a separate rewards program or when you engage with an offering from another company through MediDrive’s Platform.

        1. The above categories of information are disclosed to:

        2. Maintain and service your account;

        3. Process or fulfill rides or other offerings of the MediDrive’s Platform;

        4. Provide you with customer support;

        5. Process transactions and payments;

        6. Process your account application;

        7. Verify your identity;

        8. Detect and prevent fraud and unsafe activity;

        9. If we reasonably believe disclosure is necessary or appropriate to protect the rights, property, or safety of MediDrive or others;

        10. Process insurance claims;

        11. Provide loyalty and promotional programs;

        12. Provide marketing and advertising services, including targeted and cross-contextual advertising personalized to you;

        13. Provide requested emergency services;

        14. Provide us with analytics services; and

        15. For research to develop and improve MediDrive’s Platform.

    7. Responding to Legal Inquiries and Protecting MediDrive’s Interests: MediDrive may share your personal information to fulfill its legal obligation, such as responding to legal processes (search warrants, subpoenas, summons, or court orders), complying with applicable federal, state, local law or regulation, civil, criminal, or regulatory inquiry, investigation, governmental request, cooperate with law enforcement agencies concerning conduct or activity that MediDrive reasonably and in good faith believes may violate any law, or other situations that require disclosure by law or for MediDrive to continue operating or if we have determined that sharing your personal information is reasonably necessary or appropriate to enforce MediDrive’s Terms of Service and Use and to bring or defend legal claims, protect against harm to our rights, property, interests, or safety or the rights, property, interests, or safety of you, third parties, or the public as required or permitted by law.

    8. To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution or other sale or transfer of some or all of our assets or other change of control event, whether as a going concern or as part of bankruptcy, liquidation or similar proceeding, in which personal information held by us is among the assets transferred.

    9. MediDrive may disclose your personal information in communication with a third party or for other purposes if you provide advance permission or request us to do so.

  2. MediDrive’s Protocols for Storing and Protecting Your Information.

    1. MediDrive will retain your information for the duration necessary to provide you and others with MediDrive’s Platform. We will keep transactional information about the rides, including payment details, for at least seven years to meet our obligations under the law. To comply with our legal obligations, resolve disputes and enforce the Terms, we will keep your information as long as necessary. In the event you initiate a request to delete your User Account, we will delete your information per the process detailed in section V below.

    2. MediDrive uses reasonable and industry-standard measures to protect your personal information. Notwithstanding our efforts, we cannot guarantee the security of your information against unauthorized intrusions, acts by third parties, and other circumstances.

    3. We use commercially suitable physical, electronic, and managerial procedures to safeguard and secure the information we collect. These procedures include, but are not limited to, firewalls, encryption, intrusion detection, and Site monitoring.  We also limit access to any personal information we receive to employees who need access to that information in order to do their jobs.  However, no data protection procedures are entirely infallible. As a result, while we strive to protect your personal information, we cannot guarantee that it will be 100% secure.  Your transmission of your personal information to us thus is done entirely at your own risk.  

  3. Your Rights and Options. We strive to provide you with choices regarding the personal information you provide to us. We have created mechanisms to provide you with the following control over your information:

    1. MediDrive’s Communications: You have the option to unsubscribe anytime from our commercial or promotional emails by clicking unsubscribe in those messages. We will still send you transactional and relational emails about your use of MediDrive’s Platform. You also have the option to stop receiving MediDrive’s commercial or promotional text messages by replying to such text per the instructions therein. Similarly, you can choose not to enable or disable receiving push notifications through your device settings.

    2. User Account Information: You have the ability to view and edit certain User Account information you added to your account by logging in to your account settings on MediDrive’s Platform.

    3. Location Information: You have the option to disable location sharing through your device. However, this may impact our ability to provide you with all of MediDrive’s Platform’s features and services.

    4. Cookie Tracking: Most browsers accept cookies automatically.  You may be able to set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. For instructions, check your browser’s technical information. If you disable or refuse cookies, please note that some parts of the Site may then be inaccessible or not function properly.  Please note that cookie-based opt outs must be performed on each device and browser that you wish to have opted out.  

    5. Access to Your Information: You have the right to access the personal information you provided. You can also see the information we have about you by logging into your account and viewing things like your profile, settings, preferences, ride history and receipts, and payment information.

    6. Deletion of Your Account: You have the option to delete your User Account. However, if there is an issue with your account trustworthiness or fraud, while your account will be deleted, MediDrive may retain certain information for legitimate business purposes or to comply with legal or regulatory obligations, including your information to resolve open insurance claims, or we may be obligated to retain your information as part of an open legal claim. Retaining such data will be done in a manner designed to prevent its use for other purposes.

    7. Google Analytics.  We may use Google Analytics to improve our Site’s functions.  You can choose not to be included in Google Analytics by visiting https://tools.google.com/dlpage/gaoptout.  

  4. Children’s Data.

    1. MediDrive’s Platform is not intended for children under the age of 18. We do not knowingly collect personal information from children under the age of 18. If we find out that a child under the age of 18 has given us personal information, we will take steps to delete that information. If you believe that a child under the age of 18 has given us personal information, please get in touch with us as set forth in section VIII below.

  1. Third-Parties Privacy Policies.

    1. MediDrive Services Platform may contain links or references to third-party websites, products, or services, that may have privacy policies that differ from this Privacy Policy. It is possible that other parties may collect personally identifiable information about your online activities over time and across different web sites when you use the MediDrive Platform.  MediDrive is not responsible for or has any control over those third parties and their websites, products, or services, and you should review their policies. Please get in touch with those parties directly if you have any questions about their privacy policies.

    2. When you make a payment, you will be taken to a website of a third-party payment processor.  This third-party service provider will either collect or have access to your first and last name, zip code, postal address, email address, payment amount, billing information, and payment card information.  

  1. Contacting Us.

    1. Please contact MediDrive if you have questions or concerns about your privacy or anything in this Privacy Policy, including if you need to access this Privacy Policy in an alternative format.

  1. If You Are Located Outside the United States.

    1. For Riders residing outside the United States and choosing to use MediDrive’s Platform, your information will be transferred to, processed, and maintained on servers or databases that may be located outside of the country or jurisdiction where you are located. The laws of such jurisdiction may not protect your privacy and personal rights as those of the country where you reside. MediDrive will take reasonable steps to ensure that information about foreign Riders is treated and protected similarly as if they lived in the United States.

  1. Riders Located in California (Applicable Solely to California Residents).

    1. California’s “Shine the Light” law (Civil Code Section § 1798.83) permits users of our Site that are California residents to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes. To make such a request, please send an email to support@MediDrive.com.

    2. Additionally, the California Consumer Privacy Act of 2018 (“CCPA”) requires us to make the following disclosures to Riders residing in California:

      1. To the extent there is any conflict with the provisions of this Section X and any other provisions of this Privacy Policy, this Section X will prevail regarding California’s residents’ Personal Information.

      2. All references to “Personal Information” in this Section X shall have the meaning as defined in CCPA, whether collected online or offline. Personal Information means information that identifies, relates to, describes, references, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer or device.

      3. Information We Collect and Disclose: We have collected (or not collected if indicated below) the categories of personal information below from California residents within the last twelve (12) months.  The list below indicates the categories of personal information we disclose for business purposes. Our collection, use, and disclosure of personal information about a California resident will vary depending upon the circumstances and nature of our interactions with you.

        1. Name, Contact Information, and Other Identifiers: Identifiers such as a real name, email address, and address, online identifier, unique device identifier, Internet Protocol (IP) address, account name, driver’s license number, or other similar identifiers.

          4. From public records, including state departments managing driver’s licenses.  

  1. Use of Personal Information: We may use and/or disclose the personal information identified above to provide and improve our MediDrive’s Platform and communicate with you for our marketing and promotional purposes.

  2. Your Rights and Choices:

    1. The CCPA, to the extent applicable, provides California residents with specific rights regarding their personal information. This section describes your CCPA rights to the extent applicable and explains how to exercise those rights at no charge.

    2. Requests to Know: Under the CCPA (to the extent applicable), California residents have the right to request and, subject to certain exemptions, receive a copy of the specific pieces of personal information that we have collected about you in the prior 12 months and to have this information delivered to you, free of charge, either (a) by mail or (b) electronically in a portable and, to the extent technically feasible, a readily useable format that allows the individual to transmit this information to another entity without hindrance.

      1. Under the CCPA (to the extent applicable), California residents also have the right to request that we provide them with certain information about how we have handled their personal information in the prior 12 months, including the following:

        1. categories of personal information collected;

        2. categories of sources of personal information;

        3. business and/or commercial purposes for collecting and selling their personal information;

        4. categories of third parties/with whom we have disclosed or shared their personal information;

        5. categories of personal information that we have disclosed or shared with a third party for a business purpose;

        6. categories of personal information collected; and

        7. categories of third parties to whom the residents’ personal information has been sold and the specific categories of personal information sold to each category of a third party.

      2. California residents may make Requests to Know up to twice every 12 months.

    3. Requests to Delete: Under the CCPA (to the extent applicable), you have the right to request that we delete any of your personal information that we collected from you unless an exception applies. We may deny your deletion request or retain certain information if retaining the information is necessary for us or our service provider(s) to:

      1. Complete the transaction for which we collected the personal information, provide a good or service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you.  This includes communications allowing us to address any follow-up questions or issues, as well as payment information preserving our ability to charge you for fines or fees you might owe in accordance with the Terms.

      2. Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities. This includes any information indicating or relating to possible illegal activities, fraudulent, fake, or stolen driver’s license, payment information or other Rider data, possible Rider impersonation, account sharing, etc.

      3. Debug products to identify and repair errors that impair existing intended functionality.

      4. Exercise free speech, ensure the right of another consumer to exercise their free speech rights or exercise another right provided for by law.

      5. Comply with the California Electronic Communications Privacy Act (Cal. Penal Code § 1546 et. seq.).

      6. Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws when the information’s deletion may likely render impossible or seriously impair the research’s achievement if you previously provided informed consent.

      7. Enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us.

      8. Comply with a legal obligation, including responding to any government, law enforcement, or regulatory request and any data-sharing obligations toward municipalities or other government agencies.

      9. Make other internal and lawful uses of that information that are compatible with the context in which you provided it. This includes retaining for insurance, claims processing, compliance, and potential litigation purposes, and sharing with our insurance providers information related to your Riders or use of MediDrive’s Platform, which use may have been related to an accident or injury; (2) information relating to your identification, driver’s license and driving history; (3) and contact information allowing us to communicate with you about those instances.

  1. Do Not Sell My Personal Information: Under the CCPA (to the extent applicable), you have the right to opt out of the sale of your personal information to third parties. MediDrive does not sell your personal information, as we understand that term to be defined by the CCPA and its implementing regulations.

  2. Exercising Access, Deletion, and Do Not Sell Rights: To exercise the access and deletion rights described above, to the extent applicable, please submit contact us as set forth in section VIII above.

  3. Authorized Agent: You may designate an Authorized Agent to exercise on your behalf the access, and deletion rights, described above. To allow you to verify the authenticity of your designation of the Authorized Agent, you will be required to provide a written and signed statement granting the Authorized Agent permission to make the relevant request, as well as a copy of your driver’s license for us to match against our records and verify your identity.

  4. Non-Discrimination: We do not discriminate against you for exercising your rights or offer you financial incentives related to the use of your personal information.

  5. Under California law, a business that has an established business relationship with an individual and has, within the immediately preceding calendar year, disclosed specified information that is primarily used for personal, family, or household purposes to third party for the third party’s direct marketing purposes, must disclose to its California Users, upon request, the identity of any such third party, along with the type of information disclosed. You can contact us as provided in section VIII above. Please note that under California law, businesses are only required to respond to a Rider’s request once during any calendar year.

  6. California Minors: Under the CCPA (to the extent applicable), if you are a California resident under the age of 18 and you have provided information or content online, you may request that we remove content or information that you posted on MediDrive’s Platform or stored on our servers by (a) submitting a request in writing and (b) clearly identifying the content or information you wish to have removed and providing sufficient information to allow us to locate the content or information to be removed.

  7. Complaints to California Department of Consumer Affairs: Under California Civil Code Section 1789.3, California Riders are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
